SERVICES TERM & CONDITIONS
Overnight and Daytime Security Patrol Services
1. Contract
Client understands that, in addition to agreeing to these term & conditions in their entirety, a Security Patrol Service Agreement must be signed and returned to Red Oak Security prior to any services being rendered.
2. Services
Contractor will furnish Client with security patrol services as a general deterrent to criminal activity (e.g. theft, vandalism, trespassing). All services shall be performed in accordance with applicable laws and ordinances.
3. Term
The security patrol services to be provided by the Contractor hereunder shall begin upon return of a signed Security Patrol Services Agreement to the Contractor, or at a agreed upon date thereafter, and shall extend for a minimum of a six month period thereafter. After the initial six-month period has expired, security patrol services shall be automatically renewed for successive monthly periods until cancelled by the Contractor or Client.
4. Cancellation & Billing Policy
All service agreements are billed in advance on a monthly basis. Once a new billing cycle begins, the Purchaser is responsible for the full cost of that billing period, even if services are canceled mid-cycle.
Cancellation requests may be submitted at any time; however, to avoid charges for the next billing cycle, the request must be received no later than one (1) calendar day before the next billing cycle begins.
If cancellation is requested after a billing cycle has already started, Red Oak Security will continue to provide services through the end of the current cycle. If the Purchaser requests that services stop immediately, no refund or credit will be issued for the unused portion of the billing period.
For Purchasers within their initial six-month service commitment, early cancellation does not relieve payment obligations. The Purchaser remains financially responsible for the full cost of the remaining months in the initial six-month term, regardless of the service stop date. After the six-month minimum term is fulfilled, the agreement will convert to a month-to-month basis and may be canceled with appropriate notice as outlined above.
Cancellation requests may be emailed to Info@redoaksecurity.com or RedOakHQ@gmail.com.
Contractor may terminate services at any time, without notice, for nonpayment of any invoice ten (10) or more days past the invoice due date. This Agreement may be suspended or cancelled without notice at the option of the Contractor, if Client’s premises are destroyed by fire or other catastrophe, or so substantially damaged that it is impractical to continue service, or in the event Contractor is unable to render Services due to circumstances beyond its reasonable control.
5. Limits of Liability
It is understood by the Client that the security services provided hereunder are designed to generally deter, but not eliminate, the risk of injury to persons or loss of or damage to property. As the unlimited protection of persons and property is not feasible; this Agreement is meant to provide a degree of security resulting from the reasonable efforts of security personnel to carry out security duties and procedures. Client understands that Contractor is not an insurer and cannot guarantee against risk of injury, loss or damage to persons or property. The amounts payable to Contractor under this Agreement are based solely upon the value of the services rendered and are unrelated to the value of the Client’s property or the lives or property of others.
Client understands and agrees that this clause does not constitute the entirety of the agreement between Contractor and Client regarding liability and agrees to be bound by the further liability restrictions listed in the Security Patrol Services Agreement.
6. Nature of Security Patrol Services
Client understands and agrees that Security Patrol Services are NOT the same as dedicated on-site security staffing. Patrol Service is, by its nature, temporary and short in duration. Client understands and agrees to the fact that they are purchasing a portion of a shared security patrol services route. As such, there are multiple clients being serviced daily. Client understands and agrees to the Contractor having sole discretion over when patrols of Client’s sites happen as long as they are within the parameters of the Security Patrol Services Agreement. As all client occasionally have urgent security issues and some clients have need of alarm response as part of their service agreement, Client understands that on occasion, a scheduled patrol may not be able to be performed due to an incident at another client’s site. In such case as a scheduled patrol is not performed, Contractor agrees to perform a “make-up” patrol on a subsequent date to make up for the missed patrol. Contractor will make every effort to perform the “make-up” patrol within the same week that the scheduled patrol is missed. If unable to do so in the same week, Contractor will provide the make-up patrol in the following week.
7. On-Call Response Policy
Clients enrolled in Red Oak Security’s Daytime Security Patrol Service are entitled to two (2) on-call security responses per week at no additional cost. On-call responses are defined as unscheduled, client-initiated dispatches in response to emerging or urgent security concerns occurring outside of the regularly scheduled patrols.
Authorized Requestors
It is the responsibility of the Purchaser to designate in writing the individuals authorized to request on-call responses on their behalf. Any on-call response requested by an authorized individual—beyond the two complimentary responses per week—will be billed to the client’s account.
Red Oak Security is not liable for unauthorized usage of on-call responses unless the client has expressly provided restrictions in writing and received written acknowledgment of such restrictions from the Company.
Exclusions from On-Call Response Count
If a client requests an on-call response prior to the completion of their two regularly scheduled patrols, the response may be counted as one of the two standard daily patrols rather than an additional on-call response. This determination is at the sole discretion of Red Oak Security based on scheduling and operational capacity.
Misuse of On-Call Response Feature
The on-call response feature is intended solely for genuine, unscheduled security incidents requiring immediate attention. It is not a substitute for regularly scheduled patrols or Flex Patrols.
Red Oak Security reserves the right to monitor usage patterns and may identify misuse if:
Requests are made on a predictable, recurring schedule without a documented incident,
Call-outs are initiated to create additional patrol presence rather than address a legitimate issue,
Or the feature is used in place of properly scheduling Flex Patrols.
In such cases, Red Oak Security may:
Require additional incident details before dispatching,
Reclassify such call-outs as billable additional patrols at the current rate of $59 per response,
Recommend changes to the client’s service level to better match security needs,
Or, in cases of repeated misuse, modify, restrict, or suspend on-call privileges with written notice.
These measures ensure the on-call feature remains effective and available for true security concerns across all properties we serve.
Expiration and Rollovers
Unused On-Call Responses do not roll over at the end of each week. It is the client’s responsibility to track and schedule their usage within the allotted timeframe.
Additional On-Call Response Charges
Any on-call responses in excess of the weekly two (2) complimentary responses will be billed at a rate of $59 per response. Charges for additional responses may be processed at any time between the date of service and up to sixty (60) days thereafter, and will be billed using the same payment method selected for the Purchaser’s ongoing service agreement (e.g., credit card, ACH direct debit, or invoicing). If invoicing is used, any applicable administrative fees associated with invoiced billing may apply.
8. Flex Patrol Policy
Clients enrolled in Red Oak Security’s Daytime Security Patrol Service receive ten (10) Flex Patrols per six-month period. Flex Patrols are pre-scheduled, supplemental patrols designed to increase visibility and presence during high-risk or high-traffic times, such as holidays, special events, tenant transitions, or other anticipated security concerns.
Scheduling Requirements
Flex Patrols must be requested in advance and are not to be used in response to immediate or emergency situations. For urgent needs, the on-call response feature should be used instead (see On-Call Response Policy).
Whenever possible, Flex Patrol requests should be submitted at least 24 hours in advance to ensure integration into the existing patrol route. Red Oak Security will make every reasonable effort to accommodate scheduling requests based on operational capacity and route logistics.
Daily Flex Patrol Limits
Clients may request up to two (2) Flex Patrols per day, in addition to their regular two daily patrols. At Red Oak Security’s sole discretion, and subject to scheduling availability, the Company may authorize up to four (4) Flex Patrols in a single day, in addition to the standard patrols. Approval for additional patrols beyond the daily default is not guaranteed.
Authorized Scheduling
Only individuals designated by the Purchaser as authorized contacts may schedule Flex Patrols. All scheduled Flex Patrols will be confirmed in writing by Red Oak Security to ensure service accuracy.
Additional Flex Patrols Beyond Allocation
If a client exhausts their ten (10) Flex Patrols within a six-month period, additional Flex Patrols may be purchased at a rate of $59 per patrol, subject to route availability and approval by Red Oak Security.
Expiration and Rollovers
Unused Flex Patrols do not roll over at the end of each six-month period. It is the client’s responsibility to track and schedule their usage within the allotted timeframe.
Billing for Additional Flex Patrols
Charges for additional Flex Patrols (beyond the included ten per six-month period) may be processed at any time between the date of service and up to sixty (60) days thereafter. These charges will be billed using the same payment method selected for the Purchaser’s regular service—credit card, ACH direct debit, or invoicing. If invoicing is used, any applicable administrative fees associated with invoice billing may apply.
9. Additional Policies Regarding Daytime Security Patrol Bonuses
On-Site Standby Block Policy
Clients enrolled in Red Oak Security’s On-Site Standby Block Bonus receive two (2) on-site security standby blocks per six-month period as part of their service package.
Standby blocks provide a dedicated, uniformed security officer on-site for a continuous two-hour period, offering visible deterrence and an immediate response presence during higher-risk or sensitive situations. These are ideal for use during employee terminations, tenant disputes, property events, vendor access monitoring, or any situation where temporary on-site presence adds value and protection.
Scheduling Requirements
Standby blocks must be scheduled at least 48 hours in advance. They are subject to route availability and scheduling capacity. All standby blocks must take place during regular daytime patrol hours: Monday through Friday, between 8:00 AM and 5:00 PM.
High-Demand Periods
Due to historically high demand and limited staffing resources, standby block availability may be restricted during the following peak periods, including but not limited to:
Cal Poly Graduation Weekend
Cal Poly Open House
St. Patrick’s Day
Memorial Day Weekend
Labor Day Weekend
Cal Poly or Cuesta College Move-In/Move-Out Weeks
The Holiday Shopping Season (Black Friday through Christmas Eve)
Red Oak Security will make every reasonable effort to accommodate standby block requests during these periods but cannot guarantee availability. Early booking is strongly recommended.
Authorized Scheduling
Only individuals designated by the Purchaser as authorized contacts may schedule on-site standby blocks. All standby bookings will be confirmed in writing to ensure alignment on time, date, and service location.
Unused Standby Blocks
Unused standby blocks do not roll over beyond the current six-month service period. It is the client’s responsibility to monitor and schedule usage within the allotted timeframe.
Additional standby hours beyond the included allocation may be available as an add-on service, subject to availability and at the prevailing hourly rate. Please contact Red Oak Security for a custom quote if additional standby coverage is needed.
Exclusions
Red Oak Security’s on-site standby services are strictly limited to general property-related security tasks. We do not provide:
Event security or crowd monitoring for concerts, beer festivals, or wine-related events
Entry monitoring or interior security for any business that serves alcoholic beverages
Retail loss-prevention services
Strike security or labor dispute coverage
Executive protection or bodyguard services
Armed security of any kind
Clients requesting standby services must ensure the intended use does not fall within these restricted categories. Red Oak Security reserves the right to deny standby service requests that do not meet these guidelines.
Annual Security Assessment Policy
Clients enrolled in Red Oak Security’s Annual Security Assessment Bonus are entitled to one (1) annual security assessment per twelve-month service period.
This assessment is a professional, in-person evaluation of the property’s current security posture. It includes the review of key vulnerabilities, identification of high-risk areas, CPTED (Crime Prevention Through Environmental Design) considerations, and practical recommendations for reducing security risks. The goal is to support property managers, owners, and facilities professionals in proactively addressing safety and liability concerns.
Scheduling and Delivery
Red Oak Security will schedule the assessment in coordination with the client and will provide at least one written attempt to schedule the visit. The Company has up to one hundred and twenty (120) days from the start of service to complete the assessment and deliver findings to the client. In cases where the client is unresponsive or declines to schedule the assessment within that timeframe, the assessment may be forfeited at Red Oak Security’s discretion.
Scope and Limitations
The assessment is consultative in nature and based on observable conditions at the time of the evaluation. It does not constitute a guarantee or warranty of security performance, and Red Oak Security shall not be held liable for any losses, damages, or incidents that occur before or after the assessment, regardless of whether recommendations were implemented.
Recommendations are offered in good faith and based on industry standards, the expertise of the assessor, and the unique characteristics of the property. It remains the sole responsibility of the client to determine which recommendations to implement and how to address any identified risks.
Assessments do not include engineering reviews, code compliance inspections, fire or life safety audits, or legal evaluations, and should not be interpreted as a substitute for guidance provided by local authorities, insurers, or legal counsel.
If additional or follow-up consulting is desired, clients may use their included one-on-one consulting hours or request additional services at the prevailing consulting rate.
1-on-1 Security Consulting Policy
Clients enrolled in Red Oak Security’s 1-on-1 Security Consulting Bonus are entitled to up to two (2) hours of one-on-one security consulting per twelve-month service period. This consultation is conducted with Red Oak Security’s Founder & CEO or a qualified senior consultant and is designed to provide expert guidance tailored to the client’s unique security needs.
Consulting sessions may be used for topics such as:
Crime Prevention Through Environmental Design (CPTED)
Emergency planning and preparedness
Risk mitigation strategies
Policy and procedure reviews
Evaluation of security concerns at other properties within the client’s portfolio
Scheduling and Delivery
Consultations are conducted by phone or video conference and must be scheduled in advance. Red Oak Security will coordinate with the client to arrange a mutually agreeable date and time. If the client is unresponsive or declines to schedule the session within the twelve-month period, the consulting hours may be forfeited at the Company’s discretion.
Scope and Limitations
The consultation is advisory in nature and intended to assist clients in identifying and addressing general security concerns. Red Oak Security’s guidance is based on professional experience, industry best practices, and information provided by the client at the time of consultation.
The consulting session does not constitute legal, engineering, or regulatory advice and should not be interpreted as a replacement for formal assessments by attorneys, insurers, local authorities, or licensed professionals. Red Oak Security shall not be held liable for any decisions made or actions taken by the client based on the consulting session or for any outcomes related to the implementation—or non-implementation—of discussed recommendations.
If additional consultation is desired beyond the two included hours, clients may request extended support at the prevailing consulting rate.
Max Coverage Kickstart Bonus Policy
Select clients enrolled in Red Oak Security’s Daytime Security Patrol Service may be eligible for a Max Coverage Kickstart Bonus, which temporarily increases the frequency of patrols to support an accelerated security presence during the initial service period.
Under this bonus, clients will receive two (2) additional patrols per day, for a total of four (4), Monday through Friday, for the duration of the bonus period. The standard service includes two (2) patrols per day; the Max Coverage Kickstart Bonus doubles this patrol frequency for either two or three weeks, as specified in the client’s bonus offer.
Clients who have also purchased the Parking Enforcement Upgrade, which includes a third daily patrol for parking compliance purposes, will continue to receive that patrol as scheduled. However, the parking enforcement patrol will not be doubled as part of the Max Coverage Kickstart Bonus.
The Max Coverage Kickstart Bonus is offered at the sole discretion of Red Oak Security and is intended to establish a strong, visible presence at the onset of service. It may not be extended, rescheduled, or exchanged for future service credits or additional patrols outside the designated bonus period.
10. General Provisions and Agreement Hierarchy
The policies and terms outlined in this document are intended to clarify and supplement the standard offerings of Red Oak Security’s Security Patrol Service. However, this page does not represent a complete or exhaustive listing of all applicable service terms, responsibilities, or limitations.
Clients should refer to their signed Security Patrol Services Agreement for a comprehensive outline of all contractual obligations, rights, and service parameters.
In the event of any inconsistency or contradiction between this Terms and Conditions page and the Security Patrol Services Agreement, the Security Patrol Services Agreement shall be considered the controlling document and will take precedence in all matters of interpretation, enforcement, and execution.
